Terms of Service

1. Agreement

By accessing portalliz.com or using the Portalliz platform in any form (SaaS or self-hosted), you agree to these Terms of Service. If you are entering into this agreement on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these terms, do not use Portalliz.


2. Description of Service

Portalliz is a Microsoft 365 license governance platform that provides:

  • License quota management by country or subsidiary
  • Monthly reservation cycle and approval workflows
  • Out-of-band assignment detection
  • License inconsistency detection
  • Read-only Microsoft Graph synchronization

Portalliz operates as a read-only governance layer on top of your Microsoft 365 tenant. We do not modify your tenant configuration, assign or remove licenses, or access personal communications without explicit action by an authorized administrator.


3. Subscription Plans and Pricing

3.1 Plans

Portalliz is offered on a monthly subscription basis with three tiers: Starter, Business, and Enterprise. Pricing is published at portalliz.com/pricing and may be updated with 30 days notice to existing customers.

3.2 Founding pricing

Customers who join during the early access program and qualify for founding pricing receive a permanent 40% discount on their selected tier. This discount applies for the lifetime of the subscription under the same tier, provided the subscription remains active.

3.3 Payment

Payment is due monthly in advance. Accepted methods will be communicated during onboarding. Invoices are issued in EUR.

3.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused days within a billing period.

3.5 Refunds

We offer a full refund within 14 days of the first payment if Portalliz does not function as described for your tenant configuration. Refund requests must be submitted to billing@portalliz.com with a description of the issue encountered.


4. Early Access and Pilot Programs

4.1 Free pilot period

Organizations invited to participate in a pilot program receive access to Portalliz at no cost for the agreed pilot duration (typically 60–90 days). No credit card is required during the pilot.

4.2 Pilot to subscription

At the end of the pilot period, continued use requires a paid subscription. Pilot participants are not automatically converted — activation requires explicit confirmation.

4.3 Feedback

Pilot participants may be asked to provide feedback on product functionality. Participation in feedback sessions is voluntary and does not affect service availability.


5. Microsoft 365 Integration

5.1 Graph consent

Portalliz requires read-only consent to your Microsoft 365 tenant via Microsoft Graph API. The specific permissions requested are documented at portalliz.com/docs/permissions and will not exceed what is necessary for the features you enable.

5.2 No unauthorized writes

Portalliz does not write to your Microsoft 365 tenant — including assigning or removing licenses, modifying users, or changing configurations — without explicit action by an authorized administrator within the Portalliz platform.

5.3 Microsoft relationship

Portalliz is an independent product and is not affiliated with, endorsed by, or a partner of Microsoft Corporation. Microsoft 365, Microsoft Graph, and related names are trademarks of Microsoft Corporation.


6. Self-Hosted Deployment

6.1 License

Self-hosted customers receive a non-exclusive, non-transferable license to deploy and operate Portalliz within their own infrastructure for internal use by their organization.

6.2 Restrictions

You may not:

  • Redistribute, resell, or sublicense the Portalliz software
  • Modify and distribute modified versions without written permission
  • Use Portalliz to provide services to third parties without a reseller agreement

6.3 Updates

Self-hosted customers are responsible for applying updates. Portalliz is not responsible for issues arising from outdated deployments.


7. Acceptable Use

You agree not to use Portalliz to:

  • Access Microsoft 365 data you are not authorized to access
  • Circumvent Microsoft's terms of service or security controls
  • Process data in violation of applicable privacy laws
  • Attempt to reverse engineer, decompile, or extract source code from Portalliz
  • Use Portalliz in any way that violates applicable laws or regulations

8. Data and Privacy

Data processing under these terms is governed by our Privacy Policy at portalliz.com/privacy. For enterprise customers, a Data Processing Agreement (DPA) is available upon request at legal@portalliz.com.


9. Uptime and Support

9.1 SaaS availability

We target 99% monthly uptime for the Portalliz SaaS platform, excluding scheduled maintenance. Scheduled maintenance will be announced at least 24 hours in advance.

9.2 Support

Support is provided via email at support@portalliz.com. Response times:

  • Starter: within 2 business days
  • Business: within 1 business day (priority)
  • Enterprise: dedicated SLA as agreed in contract

9.3 Self-hosted

Support for self-hosted deployments covers configuration guidance and documented functionality. Issues arising from custom infrastructure configuration are outside the scope of standard support.


10. Intellectual Property

Portalliz, including its software, design, documentation, and brand assets, is the intellectual property of Portalliz and its founding team, and will be held by the operating entity (Dutch B.V. in incorporation) upon registration. Nothing in these terms transfers any intellectual property rights to you.

Your Microsoft 365 tenant data remains your property at all times. Portalliz claims no ownership over data synchronized from your tenant.


11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Portalliz is provided "as is" without warranty of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability to you for any claim arising from use of Portalliz shall not exceed the amount paid by you in the 3 months preceding the claim

Nothing in these terms limits liability for gross negligence, willful misconduct, or as otherwise required by mandatory law.


12. Governing Law and Disputes

These terms will be governed by the laws of the country of registration of the operating entity (the Netherlands, upon incorporation of the Dutch B.V.), with exclusive jurisdiction of the competent courts of that jurisdiction, unless mandatory consumer protection law in your jurisdiction provides otherwise. The applicable governing law and forum will be confirmed here once incorporation is complete.


13. Changes to These Terms

We will notify customers of material changes to these terms via email at least 30 days before they take effect. Continued use of Portalliz after the effective date constitutes acceptance of the updated terms.
